The short version.

What CafeClub is

A live-presence network for physical spaces in Toronto. Hosts press GO LIVE and publish a session offer (title, base price, optional add-ons). Guests discover live sessions on a map and tap HOLD MY SPOT to receive a pass (QR code) they show at the door.

We don’t process payment

CafeClub does not currently run payments. Every hold is a promise to pay at the door. The host verifies your pass and collects payment in person — cash, card, tap — their call. If you don’t show up, nothing is charged. If you show up and the host doesn’t let you in, the hold is void.

What you need to use CafeClub

A Clerk account (email). That’s it. By creating an account you agree to Clerk’s own terms and privacy for identity handling.

Age and eligibility

You must be old enough to legally enter the venues that host sessions. In Ontario that means 19+ for any session serving alcohol. For alcohol-free sessions the venue’s own minimum age applies — the host verifies at the door. We don’t knowingly accept accounts from anyone under 16.

Your content and our platform

You keep your content (spaces, live notes, host bio). By posting it on CafeClub you give us a non-exclusive, worldwide, royalty-free licence to display and distribute it on CafeClub surfaces (map, session pages, share links) while your account is active. We own the CafeClub platform, brand, and codebase. Nothing here transfers either direction.

Indemnity

You agree to cover us for any claim brought against CafeClub that stems from your conduct at a session, your breach of these terms, or content you posted that infringes someone else’s rights.

Hosts are responsible for their spaces

Hosts run the live sessions at their own venues and are responsible for safety, capacity, law, and licensing (alcohol, food, occupancy, accessibility) at those venues. CafeClub is a discovery + verification layer; it is not the operator of any physical space.

Guests are responsible for their conduct

Show up sober enough to be let in. Honor the host’s house rules. Pay what you agreed to pay at the door. Don’t redistribute passes. Don’t screenshot-share QRs as a substitute for an actual hold — the verification endpoint will reject it.

Holds, cancellation, no-shows

A hold is a non-binding reservation. If you don’t show up, you are not charged and not obligated to explain. If the session ends before you arrive, the pass expires automatically. The host has no obligation to honor a pass that arrives after the session is over.

Our right to remove accounts

We can suspend or remove accounts — guest or host — for abusive behavior, impersonation, fake supply (listing spaces you don’t operate), or any pattern of conduct that puts other users at risk. We’ll tell you why.

No warranty

The product is provided as-is while we’re in early launch. We are not liable for the condition, availability, pricing, or behavior of any particular space or host. If a session is cancelled, mispriced, or doesn’t match what was advertised, tell us — we’ll use it to remove bad actors — but we don’t refund or guarantee anything.

Liability cap

To the extent allowed by law, our total liability to you for anything related to CafeClub is capped at the greater of C$100 or the fees you’ve paid us in the 12 months before the claim. We’re not liable for indirect, incidental, or consequential damages. Nothing in these terms limits rights that cannot be waived under Ontario consumer-protection law.

Ending your account

You can close your account at any time from Clerk or by emailing us. We’ll de-identify your CheckIn history on request — see the Privacy Note for what that means. We can also end your access under the removal clause above.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it. Disputes go to the courts sitting in Toronto, Ontario, unless a law you can’t waive says otherwise.

Changes

We’ll update these terms as the product evolves. Material changes will be announced on the landing page for at least two weeks before they take effect.
